We stand behind the quality of every EVident Battery product. If you’re not fully satisfied with your vibration sensor, you may return it within 30 days of delivery for a full refund, provided the item is in its original condition and packaging.

All EVident Battery sensors include a one-year limited warranty covering defects in materials and workmanship under normal use. If a product is found to be defective during this period, we’ll repair or replace it at no additional cost.

EVident Battery Software Disclaimer: Limitation of Liability

1. Definitions

For purposes of this Agreement:

• “Provider” means EVident Battery, Inc.
   

• “Customer” or “You” means the individual or entity accessing or using the Software.
   

• “Software” means Provider’s software applications, firmware, portals, dashboards, analytics, models, algorithms, reports, APIs, updates, and related documentation and services.
   

• “Outputs” means any results, alerts, diagnostics, classifications, recommendations, estimates, localization, trends, reports, or other information generated by or through the Software.
   

• “Third-Party Services” means any third-party platforms, hosting providers, networks, carriers, integrations, or services not controlled by Provider.
   

2. No Professional Advice; No Reliance

The Software and Outputs are provided for informational and operational support purposes only and do not constitute engineering, safety, regulatory, maintenance, legal, or professional advice. You are solely responsible for: (a) verifying all Outputs; (b) determining the suitability of the Software for your use case; and (c) all decisions, actions, and omissions taken in reliance on the Software or Outputs. You agree not to rely on the Software or Outputs as the sole basis for any decision.

3. Not Safety-Critical Use

The Software is not designed, intended, or certified for use in any safety-critical, life-saving, or fail-safe application, or any application where errors, delays, or failures could reasonably be expected to result in personal injury, death, environmental harm, or significant property damage (“Safety-Critical Use”). You shall not use the Software for any Safety-Critical Use, and Provider disclaims any responsibility or liability arising from any such use.

4. Data and Output Limitations

Outputs depend on data inputs and conditions outside Provider’s control, including sensor selection and placement, mounting, calibration, configuration, environmental conditions, connectivity, interference, maintenance practices, and user operation. Outputs may include false positives, false negatives, delays, or omissions. Provider does not guarantee that the Software or Outputs will identify all faults, events, conditions, or risks.

5. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PROVIDER DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AVAILABILITY, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. PROVIDER DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

6. Limitation of Liability; No Liability (Maximum Permitted)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• NO INDIRECT DAMAGES. IN NO EVENT SHALL PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SOFTWARE OR OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
   

• NO LIABILITY FOR OUTPUTS / DECISIONS. PROVIDER SHALL HAVE NO LIABILITY FOR (A) ANY DECISIONS, ACTIONS, OR OMISSIONS BASED ON THE SOFTWARE OR OUTPUTS; (B) ANY FAILURE TO DETECT, DELAY IN DETECTING, OR MISCLASSIFICATION OF ANY CONDITION, FAULT, EVENT, IMPACT, DAMAGE, OR RISK; OR (C) DOWNTIME, EQUIPMENT DAMAGE, OR MAINTENANCE/REPAIR COSTS.
   

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, THE ABOVE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7. Third-Party Services

Provider is not responsible for Third-Party Services. Provider makes no warranties and assumes no liability for Third-Party Services, including outages, latency, data loss, security incidents, or changes to third-party terms, availability, or functionality.

8. Indemnification

You shall defend, indemnify, and hold harmless Provider and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of the Software; (b) your reliance on Outputs; (c) your violation of this Agreement; or (d) your violation of any law, regulation, or third-party right.

9. Acknowledgement

BY USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS IN THIS SECTION, AND THAT THEY FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND PROVIDER.
